FIRST. Conditions of Use:

Kuaderno Solutions S.L. (“Kuaderno” or “the company”) with Spanish tax ID (CIF) B95798252 complies with the requirements established in Law 34/2002 of July 11th concerning Information Society Services and Electronic Commerce, in the Organic Law 15/1999 of December 13th about Protection of Personal Data and other European directives and to that end has created the present Terms and Conditions of Use and Purchase that are ruled by Spanish law. Kuaderno is an educational platform that offers readings and exercises to schools, teachers and students (“Service”). By accessing the website kuaderno.com, an Internet domain that is owned by Kuaderno Solutions S.L. you will be considered a User and your full and unconditional acceptance of all of the clauses included in these Terms and Conditions, which may be periodically updated, is presumed. Kuaderno also reserves the right to modify the website, the services that are offered and any information available through the portal.
For any discrepancies with the present conditions, the parties will voluntarily submit themselves to the Courts and Tribunals of Madrid, Spain.

The content of Kuaderno’s service is educational in nature. Kuaderno Solutions S.L. does not take any responsibility for any information that has not been created by the company or for any information that has been published under the Kuaderno name but not authorized by Kuaderno as well as any responsibility for improper use of content. Kuaderno reserves the right to update, delete, limit or deny access to the content temporarily or permanently. The user exonerates Kuaderno from any responsibility that may derive from interruption to availability of the web page due to malfunctioning of the web server or applications, communication infrastructure, or the software and hardware employed by the user to navigate, or for maintenance tasks and updating or incidents that affect servers or international operators. THIRD. Purchase and use of licences.

The end users of Kuaderno’s Service (academic and educational institutions, teachers, companies or individuals) acquire individual-use licences for the Kuaderno platform for a limited period of time. Kuaderno’s Service contains software, content, images, audio, videos, exercises, proprietary algorithms for generating dynamic exercises, a messaging system, games, a brand and design elements as well as a brand identity that constitute, as a whole, educational content for students and they are the exclusive property of Kuaderno. Kuaderno reserves all rights of the Service’s intellectual property including adaptations, improvements, modifications, translations, derivative work and copies. The end users of the fixed-term licences shall use the content in a strictly limited way for each user’s individual educational purposes. Reproducing, copying, leasing, distributing, communication or transforming the content without express authorization is an infraction of intellectual property rights.
Group-use licences (for schools or classes) allows individualized access for each student by the assignment of a unique user ID, which is individualized and protected by a password. Such licences also allow use of the Service for the duration that has been purchased. Licence use includes maintenance performed by Kuaderno, which consists of remote assistance to resolve users’ technical questions or incidents, without any commitment in terms of time to resolution or final outcome. Modification, translation, reverse-engineering, decompiling, disassembly, derivative work based on Kuaderno’s Service, re-use, re-sale and sharing of individual licences with other users are all strictly prohibited. Kuaderno will pursue non-compliance with the previous conditions as well as any undue use of the portal, with the right to block or delete the user’s account, and may pursue any civil or penal charges permitted by law. Licence users renounce the right to any specific assurance of quality, availability, reliability, security, absence of virus, bugs or errors in the software or maintenance as well as any implied guarantee. If the end users are minors, their parents or legal guardians shall be responsible for proper use of the licence.
“In order to provide proper service, end users may provide Kuaderno with email addresses, teacher’s and/or parents’ names and information about students and classes. End users guarantee that they have obtained consent from adults and legal guardians of the students to provide this information that ensures proper functioning of the service and for Kuaderno to send information about the students’ progress and commercial information about the platform.

Limited liability: Kuaderno, its suppliers and its distributors shall not under any circumstances be responsible for loss of data or private information, loss of income, loss of opportunities or profit, recuperation costs, losses that arise from use of the Service or maintenance, or damage that arises from use of the third-party software or hardware or any other special, incidental, consequential or indirect damage that arises from this contract or related to it, use of the software or maintenance. The total responsibility of Kuaderno, its affiliates, parent companies, suppliers or distributors shall under no circumstances exceed the amount paid for use of the licence.
Unless there is any indication to the contrary, fixed-term licences will be valid for 365 days from the start of use and will be automatically extended for the same period, unless the user or Kuaderno shows its intention not to renew the licence before its initial expiration date. The rescission or termination of the licence for any reason will not confer the right to a refund for the licence fee. The licence fee shall be paid in advance for the subscription period without any possibility of refund or reimbursement for any reason. When the licence period has finished for whatever reason, the licences will be terminated and the information about use and the users shall be eliminated.
The price of the licence for Schools implies that each student at the school acquires an individual licence, independently of its use. Should the school not wish to purchase a School licence, it may choose to purchase Class licences at a different price with a minimum of 10 licences and a maximum of 30 licences.
Kuaderno may, for promotional purposes, provide free trial licences to end users for a set period of time. Once the trial period is over, the licences expire. If the end user does not pay the full price of the licence when the trial period is over, Kuaderno will de-activate the licences, without prejudice to possible promotional activities with end users to recommend acquisition of other types of licences.
“Indirect taxes as stipulated by the applicable laws will be added to the licence prices, which will be paid and assumed by the end user.

Kuaderno and licence users agree that any information exchanged will be kept confidental. Users will keep all information received with the strictest confidentiality and will avoid revealing it, publishing it, authorization its publication or diffusion without express written permission from Kuaderno, except for strict fulfillment of its functions.
All communication and notifications will be considered effective when transmitted by email to the email address provided by the user. The user shall keep Kuaderno informed of changes to personal information and the email address that Kuaderno has to inform the user of whatever events Kuaderno deems opportune.
Kuaderno and end users are presumed to comply with all obligations related to the Law for Protection of Personal Information and the Royal Decree of the Law for Protection of Personal Information, especially the obligations related to the right for information, consent and the duty of secrecy, registration of files with the Agency for Data Protection and the adoption of the technical and organizational security measures that guarantee the security of personal data according to the requirements of the Royal Decree for Protection of Personal Information.
